1. Definitions
In these Terms and Conditions:
- "We," "Us," "Our" refers to Meridiq, a business consulting firm operating in Thailand.
- "You," "Your," "Client" refers to the individual or entity using our website or engaging our consulting services.
- "Services" refers to all consulting services provided by Meridiq, including Operational Assessment, Growth Pathway Design, and Organizational Realignment.
- "Website" refers to the Meridiq website and all associated pages and content.
- "Agreement" refers to these Terms and Conditions together with any additional terms agreed upon in a consulting engagement contract.
2. Acceptance of Terms
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services.
3. Services Description
Meridiq provides professional business consulting services to organizations in Thailand and the broader Southeast Asian region. Our services include but are not limited to:
- Operational assessments and strategy mapping
- Growth pathway design and expansion planning
- Organizational realignment and restructuring
- Related consulting advisory services
Specific service details, deliverables, timelines, and fees are defined in individual engagement agreements.
4. Engagement Process
Consulting engagements typically follow this process:
- Initial consultation to discuss your needs and determine service fit
- Proposal outlining scope, deliverables, timeline, and fees
- Execution of formal engagement agreement
- Service delivery according to agreed terms
- Final presentation and documentation delivery
Each engagement is formalized through a separate written agreement that supplements these Terms and Conditions.
5. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information necessary for the engagement
- Make key personnel available for interviews and working sessions as needed
- Respond to requests for information in a timely manner
- Maintain confidentiality of our methodologies and work product
- Pay fees according to agreed terms
- Comply with all applicable laws and regulations
6. Intellectual Property
All content on our website, including text, graphics, logos, and methodologies, is owned by Meridiq and protected by intellectual property laws.
Upon full payment for consulting services, you receive a non-exclusive, non-transferable license to use the deliverables for your internal business purposes. This license does not include the right to:
- Reproduce or distribute our methodologies or frameworks to third parties
- Use our work product for purposes outside your organization
- Modify or create derivative works from our materials for commercial purposes
We retain ownership of all proprietary methodologies, tools, and frameworks used in our engagements.
7. Fees and Payment
Service fees are stated in Thai Baht (฿) and specified in individual engagement agreements. Unless otherwise agreed:
- Fees are fixed for the defined scope of work
- Payment is due upon invoice receipt unless payment terms are specified
- Late payments may incur interest charges of 1.5% per month
- Additional work outside the agreed scope will be quoted separately
We accept payment via bank transfer to our designated account. Payment details are provided in invoices.
8. Cancellation and Refunds
If you need to cancel an engagement:
- Cancellation before work begins: Full refund of any payments made
- Cancellation after work begins: Fees are prorated based on work completed
- Cancellation within 7 days of final deliverable: No refund
We reserve the right to terminate an engagement if you materially breach these terms. In such cases, you remain responsible for payment for work completed.
9. Confidentiality
Both parties agree to maintain confidentiality of information shared during the engagement. This includes:
- Business strategies, financial information, and operational details you share with us
- Our methodologies, work processes, and recommendations we share with you
Confidentiality obligations survive the termination of the engagement indefinitely, except for information that becomes publicly available through no fault of the receiving party.
10. Disclaimers
Our services are provided "as is" without warranties of any kind, either express or implied. We specifically disclaim:
- Guarantees of specific business outcomes or results
- Warranties that our recommendations will achieve particular financial targets
- Responsibility for implementation decisions made by you
Our recommendations are based on information available at the time of the engagement and our professional judgment. Business outcomes depend on numerous factors beyond our control, including market conditions, execution quality, and unforeseen circumstances.
11. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claims arising from our services is limited to the fees paid for the specific engagement giving rise to the claim.
We are not liable for:
- Indirect, consequential, or punitive damages
- Lost profits or business opportunities
- Costs of procurement of substitute services
- Damages arising from your implementation of recommendations
This limitation applies regardless of the legal theory underlying the claim.
12. Indemnification
You agree to indemnify and hold harmless Meridiq, its consultants, and employees from any claims, damages, or expenses arising from your use of our services or breach of these terms, except to the extent caused by our gross negligence or willful misconduct.
13. Force Majeure
Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, labor disputes, or public health emergencies. In such cases, the affected party will notify the other party promptly and make reasonable efforts to resume performance.
14. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Bangkok, Thailand.
Before pursuing formal legal action, both parties agree to attempt to resolve disputes through good-faith negotiation.
15. Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
16. Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms and Conditions, together with any engagement agreement and our Privacy Policy, constitute the entire agreement between you and Meridiq regarding the use of our services and supersede all prior agreements and understandings.
18. Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets.
19. Waiver
Our failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.
